Shopify App Terms of Service

Effective October 24, 2026

These Terms of Service for the Shopify app (the "Terms") are a contract between Compiled Intelligence, Inc., a Delaware corporation ("RoutingCat", "we", "us"), and the business that installs RoutingCat's app for Shopify on its store ("you"). They cover the app, whether you install it from the Shopify App Store or as a custom version we make for your store, and RoutingCat's software and hosted services as your store uses them: the app's extensions and pages, the dashboard at app.routingcat.com, the routingcat command and its skill, the documentation at docs.routingcat.com, and RoutingCat's APIs, including the one that collects data from your store's pages (together, the "Service"). Our Terms of Service govern RoutingCat used outside Shopify.

1. Accepting these Terms

1.1 How you accept. You accept these Terms when you select "Accept and continue" in the app, or when you first use the Service, whichever comes first. No signature is needed.

1.2 Who accepts. You accept them for the business that owns the store, and you confirm that you are authorized to bind it. The Service is for businesses only, not for personal or household use.

1.3 The DPA and the privacy policy. Our Data Processing Addendum (the "DPA") forms part of these Terms, as section 6.4 applies it. Our Shopify App Privacy Policy explains how the app handles data.

2. The Service

2.1 Your right to use it. While these Terms are in force, and subject to them and to your plan, you may use the Service for your store. This right is non-exclusive and non-transferable, and you may not sublicense it.

2.2 Shopify. The app runs on Shopify, which is not a party to these Terms. As Shopify requires, you acknowledge that:

  • we, not Shopify, are solely responsible for the app;
  • Shopify is not liable for any fault in the app, or for any harm that may result from its installation or use;
  • except where Shopify expressly says otherwise, Shopify can't help you install or use the app;
  • we, not Shopify, are solely responsible for any liability that may arise from your access to or use of the app, including from its development, use, marketing, distribution, access and support, and from our access to, use, distribution and storage of data about your store and its customers.

Shopify may suspend or end our access to its API, which would stop the app working for your store.

2.3 Open-source code. The routingcat command is published as the routingcat package under the MIT License, which governs the package's code; these Terms govern your use of the Service.

2.4 Support. Support, at support@routingcat.com, is at our discretion. There is no service level agreement: we don't commit to any availability, response time or level of support.

2.5 Other services. The Service works with services you choose, such as Shopify and your coding agent. Their own terms govern them, and we aren't responsible for them.

3. Your store's people

3.1 Who uses the Service. You are responsible for everyone and everything that uses the Service for your store, including your staff, the collaborators Shopify lets open the app, and the coding agents paired with your store. What they do is done by you.

3.2 Security. Keep the credentials of the coding agents paired with your store secure, and tell us promptly if you suspect that anyone has used them without permission.

4. Acceptable use

You must not, and must not let anyone else:

  • use the Service in breach of any law or of anyone's rights;
  • resell the Service, or provide it to others, except by running it on your store;
  • copy, modify or reverse engineer the Service, except as the law or the MIT License allows;
  • interfere with or disrupt the Service, probe it for vulnerabilities, or get around its limits, credentials or security;
  • send malicious code to the Service, or send it data meant to overload it or to falsify its records;
  • use the Service on pages directed at children under 16;
  • send the Service sensitive data: special categories of personal data (such as health, religion, sexual orientation or biometric data), government identification numbers, payment card or bank account numbers, passwords or precise location;
  • put names, email addresses or other direct identifiers in event properties or account ids.

5. Your store and your visitors

5.1 Your content and your routing. You are responsible for your store, the versions you test and all other content you provide. RoutingCat chooses among the versions you provide and doesn't review them. You are responsible for using routing lawfully, including under any law on pricing, advertising, consumer protection or discrimination.

5.2 Your theme. The copies of sections you make for tests, and any change your coding agent makes, are your theme's content, and you are responsible for them. Where RoutingCat isn't running, for example after an uninstall, every copy you made can show until you delete it.

5.3 Privacy notices. Your privacy notice must tell your visitors that your store uses RoutingCat, what it collects and why, and that RoutingCat also uses the data to improve its services, including the models that serve all its customers. Our Shopify App Privacy Policy describes it.

5.4 Consent. RoutingCat follows the consent your store collects through Shopify: it records only the visitors whose analytics processing Shopify allows. Configuring your store's consent settings as the law of each place your visitors are in requires is your responsibility.

5.5 Your rights to the data. You confirm that you have, and will keep, every right, notice, consent and lawful basis needed for us to process Customer Data as these Terms describe.

6. Data

6.1 Customer Data. "Customer Data" means the data the Service receives about your store from Shopify, collects from your store's pages, or receives from your store's people and coding agents, including data about your visitors and buyers, your orders, your declarations and your variants' content. As between you and us, you own it.

6.2 Our use of it. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, analyze, transmit and display Customer Data, and to have our service providers do so for us:

  • to provide, maintain, secure and support the Service;
  • to develop and improve our products and services, including by creating, training, fine-tuning and improving the models that serve all our customers;
  • as the DPA allows or the law requires.

6.3 Your consent to learning. By accepting these Terms, you give us your prior written consent, as Shopify's Partner Program Agreement and API Terms provide, to use Customer Data, including in anonymous, aggregated or derived form, for the uses in section 6.2, among them creating, developing, training, fine-tuning and improving machine learning models and technologies. Where Shopify's terms require it, we use Customer Data for those uses in aggregated or de-identified form. We may create aggregated or de-identified data from Customer Data, such as statistics, model parameters and trained models. That data is ours, and you expressly authorize us to use and share it for those uses, as long as it identifies neither you, your visitors nor any other person.

6.4 Personal data. The DPA governs the personal data in Customer Data. In it, "the Terms" means these Terms, "our Privacy Policy" means our Shopify App Privacy Policy, and Annex 1 also covers the data our Shopify App Privacy Policy lists.

6.5 Retention and deletion. We delete Customer Data within 30 days after the app is uninstalled from your store, or after we receive an enforceable request to delete it from you, a buyer of your store or Shopify, except as the law requires or allows. You can send requests to privacy@routingcat.com. Shopify sends us your buyers' requests for their data or for its deletion, and we act on each within 30 days.

6.6 Security breaches. If we become aware of an actual or suspected breach of your store's data, we notify Shopify within 24 hours, as Shopify requires.

7. Fees and payment

7.1 Plans. Your store needs a plan to route its visitors, and without one it routes nothing. Shopify bills the plans of the app listed in the Shopify App Store, in US dollars, and its plan page shows a plan's terms before you approve it:

  • Hobby: $19 every 30 days, after a 14-day free trial, for up to 10,000 visitors a month and 10 live variants. Past these limits, we may hold variants, or stop routing your store, until you move to Pro.
  • Pro: $100 every 30 days, with 100,000 visitors included in each cycle, then $0.002 a visitor, with no cap and no trial, and up to 100 live variants a page.
  • Enterprise: the terms we agree with you, as a private plan on Shopify.

7.2 Visitors. A visitor counts once in each billing period in which RoutingCat routes and records one of their pages, those in the control group included and automated traffic excluded. Our count, made from the records the Service keeps, determines usage charges.

7.3 Billing through Shopify. You choose, change or cancel your plan on Shopify's plan page. Shopify charges your plan and its usage, with the taxes it collects. Uninstalling the app cancels your plan, and the usage counted before it is still charged. Charges are non-refundable, except where the law requires otherwise.

7.4 Price changes. We'll tell you before we change a plan's price or how it is charged.

7.5 Custom versions. A custom version of the app, made for your store, isn't billed through Shopify: its plan is billed through Stripe, under section 7 of our Terms of Service, or as we agree with you in writing.

8. Suspension

We may suspend all or part of the Service for your store, for example by turning its routing off, turning the app's embed off, blocking data collection or revoking credentials, if:

  • you breach section 4 or section 5;
  • your use threatens the security, integrity or availability of the Service, or could harm us, our other customers or anyone else;
  • an amount you owe us directly is overdue; or
  • the law requires it.

Fees remain due during a suspension that you caused.

9. Term and termination

9.1 Term. These Terms start when you accept them and last while the app is installed on your store.

9.2 By you. You can uninstall the app at any time. Uninstalling ends these Terms and cancels your plan.

9.3 By us. We may end these Terms at any time, with notice, and uninstall the app from your store. If we stop offering the app, we'll tell you in advance, as Shopify requires.

9.4 Effect. When these Terms end, your right to use the Service ends. Section 6.5 governs your store's data, and sections 5, 6 and 10 to 16 continue to apply.

10. Ownership and feedback

10.1 Ours. We and our licensors own the Service, including its software, models and documentation, and the data described in section 6.3. These Terms give you only the rights they state.

10.2 Feedback. If you, your store's people or your agents send us suggestions, ideas or other feedback, we may use them freely, for any purpose, without any obligation to you.

11. Confidentiality

Non-public information we give you that is marked confidential, or that a reasonable person would understand to be confidential, is our confidential information. You will use it only for these Terms, protect it with reasonable care, and share it only with your staff, contractors and advisers who need it and are bound by duties of confidentiality at least as protective. You may disclose it where the law requires, after telling us where the law allows. Information that is public through no fault of yours, that you already knew, that you received lawfully from someone else, or that you developed independently is not confidential.

12. Disclaimer

To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't warrant that the Service will be uninterrupted, secure or error-free, that it will improve your conversion, revenue or any other result, or that its estimates, predictions and reports are accurate. You decide what to publish and what to act on.

13. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, conversions, business, data or goodwill, or for the cost of substitute services, arising out of or relating to these Terms or the Service, even if we were told they were possible;
  • our total liability arising out of or relating to these Terms or the Service, under any theory, is limited to the fees you paid for the Service in the 12 months before the event giving rise to the liability, or USD 100 if you paid nothing.

These limits apply even if a remedy fails of its essential purpose, and they also protect our affiliates, suppliers and licensors. They don't limit any liability that the law doesn't allow to be limited.

14. Indemnity

You will defend us, our affiliates, and our and their officers, employees and agents against any claim by a third party, including a regulator, arising from your store, your variants, Customer Data, your use of the Service in breach of these Terms or of the law, or a dispute between you and your visitors or buyers. You will pay the damages, fines, settlements and reasonable costs, including legal fees, that result. We'll tell you about the claim promptly, let you control its defense, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes an obligation or an admission on us without our consent.

15. Changes

15.1 To the Service. We may change the Service at any time, including by adding, changing or removing features. Before we change the app's core functions or make major changes to its features, we'll tell you, as Shopify requires.

15.2 To these Terms. We may change these Terms, the DPA included, and post the new version with its effective date. By using the Service after a change takes effect, you accept it. If you don't accept it, uninstall the app.

16. General

16.1 Governing law and courts. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each of us consents to it. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

16.2 Notices. We send notices in the app, or by email to the people at your store who chose to get our emails. Send legal notices to legal@routingcat.com. A notice by email is given when it is sent.

16.3 Assignment. You may not assign or transfer these Terms without our written consent, except to a successor to all or most of your business, with notice to us. We may assign them to an affiliate, or to a successor in a merger, an acquisition or a sale of assets.

16.4 Events beyond control. Neither of us is liable for a failure or delay caused by events beyond its reasonable control, such as failures of the internet, of Shopify or of other service providers, natural disasters, war, terrorism, labor action or government action. This doesn't excuse a failure to pay.

16.5 Export and sanctions. You confirm that you are not located in a country subject to comprehensive US sanctions or named on a US government list of restricted parties, and you won't use the Service in breach of export control or sanctions laws.

16.6 Entire agreement. These Terms, including the DPA, and any written agreement for a private plan, are the entire agreement between us about the Service for your store, and replace any earlier agreement about it. Apart from changes under section 15.2, only a written agreement signed by both of us can vary them. Terms in your purchase orders or other documents don't apply.

16.7 Other terms. If a provision is unenforceable, it is enforced to the extent possible and the rest remains in force. Not enforcing a provision isn't a waiver of it. We are independent contractors, and these Terms create no rights for third parties, except Shopify's under section 2.2. "Including" means "including without limitation". These Terms are written in English, which prevails over any translation.
